1. Acceptance of Terms

By creating an account, accessing, or using Yubely ("Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Yubely ("we," "us," or "our").

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Yubely is an AI-powered content creation platform that enables users to:

• Generate royalty-free ambient music, lo-fi beats, and soundscapes using artificial intelligence
• Create visual content including cover art and video backgrounds
• Compose long-form videos combining generated audio and visuals
• Create short-form videos optimized for social media platforms
• Upload content directly to connected YouTube channels
• Upload short-form content directly to connected TikTok accounts
• Schedule and manage content publication across platforms
• Manage multiple brands and channels from a single dashboard

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You may register using your email address or through Google OAuth. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to comply with these security obligations.

3.3 One Account Per User

Each user may only maintain one account. Creating multiple accounts to circumvent usage limits or for fraudulent purposes is strictly prohibited and may result in termination of all accounts.

4. Subscriptions & Payments

4.1 Subscription Plans

We offer the following subscription plans:

4.2 Billing

• Subscriptions are billed monthly in advance through Stripe, our payment processor.
• Your subscription will automatically renew each month unless canceled before the renewal date.
• All prices are in US Dollars (USD) unless otherwise specified.
• Applicable taxes will be added based on your location.

4.3 Refunds and Cancellations

• You may cancel your subscription at any time through your account settings.
• Cancellation takes effect at the end of your current billing period.
• We do not provide refunds for partial months or unused features.
• Exception: If you experience a verified copyright claim on content generated through our Service due to our error, we will either resolve the claim or provide a prorated refund for that billing period.

4.4 Usage Limits

Each plan has specific usage limits (videos per month, duration limits, channel limits). Unused allocation does not roll over to the next billing period. If you exceed your plan's limits, you will need to upgrade your plan to continue generating content.

4.5 Price Changes

We may modify subscription prices at any time. Price changes will be communicated at least 30 days in advance and will take effect at your next billing cycle. Continued use of the Service after price changes constitutes acceptance of the new pricing.

5. Content Ownership & License

5.1 Generated Content

Content generated through our Service (music, visuals, videos) is provided to you under the following terms:

• Ownership: You own the generated content created through your account during an active paid subscription.
• License: You receive a perpetual, worldwide, royalty-free license to use, reproduce, modify, publish, and monetize the generated content.
• Monetization: You may monetize the content on platforms like YouTube, including through ad revenue, without additional fees to us.
• Exclusivity: Generated content is not exclusive. Similar AI-generated content may be created for other users due to the nature of AI generation.

5.2 Your Input

You retain ownership of any content you provide to the Service (brand names, descriptions, preferences). By using the Service, you grant us a limited license to process this input for the purpose of generating content.

5.3 Copyright Guarantee

6. Acceptable Use Policy

You agree NOT to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Create content that infringes on any intellectual property rights of others
• Generate content promoting violence, hate speech, discrimination, or illegal activities
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated tools or bots to access the Service beyond its intended API
• Circumvent any usage limits or security measures
• Resell, sublicense, or redistribute the Service itself
• Use the Service for any illegal purpose or in violation of any applicable laws
• Interfere with or disrupt the Service or servers connected to the Service

Violation of this policy may result in immediate termination of your account without refund.

7. Third-Party Services

Our Service integrates with and relies on third-party services:

• Payment Processing (Stripe): Your use of Stripe for payments is subject to Stripe's Terms of Service.
• Google Services: Authentication and YouTube integration are subject to Google's Terms of Service.
• TikTok: TikTok integration is subject to TikTok's Terms of Service.
• AI Services (OpenAI, Replicate): Content generation utilizes third-party AI services, each with their own terms and acceptable use policies.

We are not responsible for the actions, policies, or availability of these third-party services. Changes to or unavailability of third-party services may affect your use of our Service.

8. YouTube Integration

8.1 YouTube API Services

By connecting your YouTube account, you agree to be bound by the YouTube Terms of Service. Our use of YouTube API Services is subject to the YouTube API Services Terms of Service.

8.2 Authorization

When you connect your YouTube channel, you authorize us to upload videos on your behalf. You can revoke this authorization at any time through your Google Account permissions.

8.3 YouTube Compliance

You are responsible for ensuring that content uploaded to your YouTube channel complies with YouTube's Community Guidelines and Terms of Service. While we generate content designed to be compliant, you maintain final responsibility for what is published on your channel.

8.4 Monetization

YouTube monetization eligibility is determined by YouTube, not Yubely. We cannot guarantee that your channel will qualify for or maintain monetization status. Meeting YouTube's monetization requirements is your responsibility.

9. TikTok Integration

9.1 TikTok API Services

By connecting your TikTok account, you agree to be bound by the TikTok Terms of Service. Our use of TikTok APIs is subject to the TikTok Developer Terms of Service.

9.2 Authorization

When you connect your TikTok account, you authorize us to post videos on your behalf. You can revoke this authorization at any time through your TikTok account settings.

9.3 TikTok Compliance

You are responsible for ensuring that content uploaded to your TikTok account complies with TikTok's Community Guidelines and Terms of Service. While we generate content designed to be compliant, you maintain final responsibility for what is published on your account.

9.4 TikTok Creator Fund

TikTok Creator Fund eligibility and earnings are determined by TikTok, not Yubely. We cannot guarantee that your account will qualify for or maintain Creator Fund status. Meeting TikTok's requirements is your responsibility.

10. Intellectual Property

The Service, including its original content, features, functionality, branding, and software, is owned by Yubely and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, service marks, and logos may not be used in connection with any product or service without our prior written consent. You may not copy, modify, distribute, sell, or lease any part of our Service or software.

You agree to indemnify, defend, and hold harmless Yubely, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or publish through the Service
• Your YouTube channel activities
• Your TikTok account activities

14. Termination

14.1 By You

You may terminate your account at any time by canceling your subscription and deleting your account through your account settings.

14.2 By Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Violation of our Acceptable Use Policy
• Fraudulent or illegal activity
• Non-payment of fees
• Upon request by law enforcement

14.3 Effect of Termination

• Your access to the Service will be immediately disabled
• Your subscription will not renew
• Content you've already generated and downloaded remains yours
• Content stored on our servers may be deleted after 30 days
• We may retain certain data as required by law

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also provide notice via email or through the Service.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

16. Governing Law & Disputes

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through informal negotiation. If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

16.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
